Atmus Filtration Technologies has agreed to acquire Koch Filter Corp. for $450 million in cash.
The seller, Air Distribution Technologies Inc., is a portfolio company of Truelink Capital. The deal is expected to close in Q1 2026, pending customary conditions. Founded in 1966 and headquartered in Louisville, Ken., Koch Filter manufactures air filtration services used across industrial and commercial HVAC, data centers and power generation. Its product line includes HVAC, HEPA, carbon and specialty filters aimed at improving air quality and equipment performance.
Atmus (NYSE: ATMU), a global filtration and media services provider, plans to fund the transaction through a mix of cash and borrowings under its credit facility. The acquisition strengthens Atmus’ position in the industrial air filtration sector and expands its footprint in high-growth end-markets.
Benesch served as legal advisor and Jefferies LLC as financial advisor to Atmus. Lincoln International LLC advised ADTI and Truelink Capital.
