Pinnacle Systems Inc.’s $21.5 million cash-and-stock takeout of Dazzle Multimedia, a division of SCM Microsystems Inc., almost did not happen. “It’s always the [takeout price] issue,” quipped Robert Wilson, a senior VP who runs Mountain View, Calif.-based Pinnacle’s M&A efforts. The $500 million market cap company makes digital video authoring, editing and storage solutions for personal use, in addition for use in television programs, commercials and pay-per-view.
