M&A Rosters, reporting the merger, acquisition, and divestiture activity of U.S. firms, are divided into three sections: U.S. Mergers and Acquisitions, Foreign Acquisitions in the U.S., and U.S. Acquisitions Abroad. Each section is organized alphabetically by acquirer under four-digit SIC-based industry segment headings. M&A Rosters are extracted from Thomson Financial’s SDC Platinum, a computer-accessible data bank of m&a activity from 1981 to the present. While the Rosters provide basic information on all completed, reported transactions valued at $25 million or more (even though the price threshold for Scoreboard and other tables that we publish will continue to be $5 million), additional financial information – such as market price of the acquired company’s stock prior to announcement, book value, premium paid, and P/E ratio can be retrieved quickly from SDC Platinum. It also contains current data on pending transactions. To qualify for inclusion in the M&A Rosters, a deal must be valued at $25 million or more. Partial acquisitions of 5% or more of a company’s stock are included if a $100 million threshold is met. Sales of real property are not included. If the price has not been revealed, the deal is included if it is believed to meet the price threshold.
