On Dec. 1, 2005, privately held Amsted Industries Inc. did not need Hart-Scott-Rodino Act approval when it purchased FM Industries from Progress Rail Services Holding Corp. Earlier this month, though, the Department of Justice held Chicago-based, $2.5 billion-in-annual-revenue Amsted’s M&A feet to the antitrust fire, requiring it to remedy that deal.
