TJC has agreed to acquire Luna Innovations Inc.

Following the close, expected in the second half of 2026 subject to shareholder approval, regulatory clearance, and customary closing conditions, Luna will operate as a wholly owned subsidiary of TJC. Headquartered in Virginia, Luna Innovations develops advanced fiber optic-based sensing, test, and measurement technologies used in aerospace, defense, telecommunications, energy and industrial applications. The company manufactures optical products that enable precision measurement and monitoring across a range of industrial technology end markets. White Hat Capital Partners LP, which controls approximately 25 of the company’s voting power, has entered into a voting support agreement in favor of the transaction.

Evercore Group is serving as financial advisor and King & Spalding as legal counsel to Luna, while Guggenheim Securities is serving as financial advisor and Kirkland & Ellis as legal counsel to TJC
