Rank One Computing Corp. has agreed to acquire Zuccaro Technical Consulting.
Under the terms of the transaction, ROC (Nasdaq: ROC) will pay $500,000 in cash and approximately $2.5 million in restricted common stock, along with a performance-based earn-out. The acquisition is expected to close in the third quarter of 2026, subject to customary closing conditions, after which ZTC will operate as a wholly owned subsidiary of ROC. The transaction is intended to expand ROC’s digital evidence and Vision AI capabilities, particularly within government and public-safety markets.
ZTC develops digital forensics services and provides specialized software engineering services to U.S. federal government customers. The company has focused on solving complex digital forensics challenges in operational environments, supporting digital evidence workflows involving mobile device extractions, multimedia files, legal process returns and other investigative data sources.
