Middle Market Information LLC Subscription Agreement
Website and Magazine (the “Service”) Subscription Agreement
The terms of this Agreement and all operating rules published over the Service constitute the entire agreement (collectively the “Agreement”) between Middle Market Information LLC and you (“Subscriber” or “You”) with respect to the Service.
1. Overview
This Subscription Agreement (“Agreement”) governs access to and use of all subscription-based products and services (the “Services”) provided by Mergers & Acquisitions and TheMiddleMarket.com (“Company,” “we,” “us,” or “our”).
By purchasing or using a subscription, you (“Subscriber”) agree to be bound by this Agreement.
2. Subscription Types
A. Individual Subscription
An Individual Subscription:
- Is licensed to a single named user
- May not be shared with other individuals
- Is intended solely for the Subscriber’s personal professional use
B. Corporate / Enterprise Subscription
A Corporate or Enterprise Subscription:
- Permits access by multiple users within the same organization
- Is governed by separate licensing terms where applicable
- May include broader internal usage rights
3. License Grant
Subject to this Agreement, Company grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Services.
All rights not expressly granted are reserved.
4. Permitted Use
Subscriber may:
- Access content for personal, internal informational purposes
- Use insights in a limited manner within their professional role
5. Prohibited Use
Subscriber may NOT:
A. Sharing & Distribution
- Share login credentials
- Allow access by unauthorized users
- Forward, distribute, or repost content internally or externally
- Unauthorized sharing of login credentials constitutes a material breach of this Agreement.
B. Commercial Use
- Use content in client deliverables, reports, or presentations
- Republish or redistribute content
- Use content for marketing or promotional purposes
C. Data & Derivative Use
- Build databases, benchmarks, or datasets using content
- Extract or compile content systematically
- Incorporate content into internal knowledge systems
D. AI & Automated Use
- Use content to train, fine-tune, or improve artificial intelligence or machine learning models
- Use bots, scrapers, or automated tools to access or extract content
E. Circumvention
- Attempt to bypass paywalls or access controls
- Interfere with the operation of the Services
6. Enterprise License Requirement
If:
- Multiple individuals within the same organization access or use the Services, or
- Content is shared beyond a single authorized user
Then a Corporate or Enterprise Subscription is required.
Company reserves the right to:
- Restrict access
- Require an upgrade to an appropriate license tier
7. Monitoring and Enforcement
Company reserves the right to:
- Monitor usage patterns for compliance
- Investigate suspected violations
- Suspend or terminate access
8. Upgrade and True-Up
If Subscriber usage exceeds the scope of the purchased subscription:
Company may:
- Upgrade Subscriber to the appropriate license tier
- Invoice Subscriber for the difference in pricing
Subscriber agrees to pay such amounts upon notice. If the Subscriber chooses not to upgrade it license tier, the Subscriber agrees to pay for any unauthorized usage based on the Company’s standard enterprise pricing for the applicable period.
9. Commercial Licensing
Any use of content for:
- Internal distribution across teams
- Client-facing materials
- External publication or marketing
Requires a separate written licensing agreement.

10. Subscription Fees and Payment
- Subscription fees are billed in advance
- All fees are non-refundable unless otherwise stated
- Subscriber agrees to provide accurate billing information
11. Renewal and Term
- Subscriptions automatically renew unless canceled prior to renewal
- Renewal terms match the original subscription period
- Company may adjust pricing upon renewal with notice
12. Cancellation
Subscriber may cancel:
- At any time prior to renewal
Cancellation:
- Does not result in a refund for the current term
- Prevents future billing
13. Intellectual Property
All content, including:
- Articles
- Research
- Survey data
- Analytics
Is owned by Company or its licensors.
No ownership rights are transferred to Subscriber.
14. Disclaimer
Content is provided for informational purposes only.
Company does not guarantee:
- Accuracy
- Completeness
- Investment outcomes
Content should not be relied upon for:
- Investment decisions
- Legal or financial advice
15. Limitation of Liability
To the fullest extent permitted by law:
Company shall not be liable for:
- Indirect or consequential damages
- Loss of profits or business opportunities
16. Termination
Company may suspend or terminate access:
- For violation of this Agreement
- For misuse of Services
- At its discretion
17. Changes to Agreement
Company may modify this Agreement at any time.
Continued use constitutes acceptance of updated terms.
18. Governing Law
This Agreement is governed by the laws of the State of Connecticut.
