Wellness Center USA Inc. has closed a deal for Stealth Mark Holdings Inc.

Centerville, Minn.-based Stealth Mark provides product authentication services to the aerospace and defense, auto parts, electrical parts, personal care products, pharmaceutical and wine industries. The company aims to provide brand protection from counterfeiting, something that results in more than $900 billion in lost revenues annually from all goods traded on the global market, the company says.

Wellness, headquartered in Schaumburg, Ill., provides alternative health care, medical device, security services and online nutraceutical sales. The company operates through subsidiaries: Stealth Mark, National Pain Centers Inc., Psoria-Shield Inc. and CNS-Wellness and AminoFactory.

Wellness made the acquisition with 376,000 shares of common stock and 90,505 five-year warrants for common stock. The company's shares were closed at $0.72 on April 8, making the deal valued at less than $350,000.
