Lexmark International Inc Investor Group 2,514.8 An investor group, comprised of Apex Technology Co Ltd, Pacific Alliance Group Ltd's unit PAG Asia Capital, and Legend Holdings Corp's subsidiary Legend Capital Co Ltd, definitively agreed to merge with Lexmark International Inc, a Lexington-based manufacturer and provider of printing and imaging products, as well as related software, solutions and services. The buyer intends to pay $40.5 per share in cash, or a total of $2.517 billion in cash, via a leveraged buyout transaction. Originally, In January 2016, Lexmark was rumored to be seeking a buyer for its hardware & software assets.
Cvent Inc Vista Equity Partners LLC 1,624.1 Vista Equity Partners LLC definitively agreed to acquire the entire capital of Cvent Inc, a Tysons Corner-based developer of event management software, for $36 in cash per share or a total of $1.624 billion via a leveraged buyout transaction.
Polycom Inc Mitel Networks Corp 1,619.4 Mitel Networks Corp of Canada definitively agreed to acquire the entire share capital of Polycom Inc, a San Jose-based manufacturer and wholesaler communication equipment, from Elliott Management Corp (6.6%) and other shareholders (93. 4%) via a reverse takeover transaction valued at $1.619 billion. Mitel offered $3.12 in cash and 1.31 common shares per Polycom share. Based on Mitel's closing stock price of $7.85 on 14 April 2016, the last full trading day prior to the announcement, each Polycom share was valued at $13.404. Upon completion of the deal, Mitel and Polycom shareholders would own 40% and 60% of the combined entity respectively. Originally, Mitel was rumored to be planning to merge with Polycom in April 2016.
JD Power & Associates Inc XIO(UK)LLP 1,100.0 XIO (UK) LLP of the UK definitively agreed to acquire the entire share capital of JD Power & Associates Inc, a Costa Mesa-based provider of information, analysis, and decision-support services, from McGraw Hill Financial Inc (MHF) for an estimated $1.1 billion in cash. Originally, in October 2015, MHF was rumored to be seeking a buyer for its JD Power unit. Cox Enterprises Inc, Manheim Auctions, and XIO were named as potential bidders back then.
Morpho Detection Inc Smiths Group PLC 710.0 Smiths Group PLC of the UK agreed to acquire Morpho Detection Inc, a Newark-based manufacturer of tomography-based detection systems, from Safran SA for $710 million. Previously, Safran announced that it was seeking a buyer for Morpho in March 2016. Originally, Safran was rumored to be seeking a buyer for its detection business in October 2015.
WKI Holding Co Inc GP Investments Acquisition Corp 572.0 GP Investments Acquisition Corp definitively agreed to acquire the entire share capital of WKI Holding Co Inc, a Rosemount-based manufacturer and wholesaler of housewares, including bake ware, dinnerware, and range top cookware, for an estimated $572 mill. The consideration would consist of $330 million in cash and the assumption of $242 million in liabilities. Upon completion of the deal, GP would change its name to World Kitchen Group Inc and will continue to trade on the NASDAQ Capital market. The transaction would also include the acquisition of World Kitchen LLC.

Big Star Oil & Gas LLC-Certain Oil & Gas Producing Assets, Midland Basin,Texas Callon Petroleum Co 301.2 Callon Petroleum Co definitively agreed to acquire certain oil & gas producing assets in Midland Basin, Texas from Big Star Oil & Gas LLC, a Midland-based oil and gas exploration and production company, for an estimated $301.189 million. The consideration would consist of $220 million in cash and the issuance of 9.3 million common shares collectively valued at $81.189 million. The shares were valued based on Callon's closing stock price of $8.73 on 18 April 2016, the last full trading day prior to the announcement.

Seventy Seven Energy Inc Bondholders   Seventy Seven Energy Inc, a Oklahoma-based provider of wide range of well site services and equipment, is planning a debt restructuring transaction with bondholders (BHs). BHs would receive new common stock and warrants in exchange for $650 million of the 2019 Notes, $450 million of the 2022 Notes. Upon completion of the deal, BHs would hold an undisclosed stake in the restructured company.
