Frozen food producer Bellisio Foods Inc., which is owned by Centre Partners Management LLC, is buying Overhill Farms Inc. (NYSE: OFI), another maker of frozen foods.

Overhill, headquartered in Vernon, Calif., develops products for the retail and foodservice markets. Customers include: American Airlines Inc., Boston Market, Jenny Craig Inc., Panda Restaurant Group Inc., Pinnacle Foods Group LLC, Safeway Inc. (NYSE: SWY) and Target Corp. (NYSE: TGT). 

Duluth, Minn.-based Bellisio and Overhill have already worked together under a co-manufacturing agreement for Boston Market. Terms of the transaction were not disclosed.

New York private equity firm Centre Partners bought Bellisio in 2011. Centre Partners was founded in 1986 and focuses on making control investments in North American consumer, health care and business services companies. The firm’s other portfolio companies include Orion International, Ross Aviation and Environmental Logistics Services.
