Castlight Health, Inc. (NYSE:CSLT), a healthcare data and navigation company, and Vera Whole Health, Inc., a provider of advanced primary care, have entered a business combination.

The deal will integrate Caslight’s technology with Vera’s clinics and healthcare professionals to transform how patients and providers access and deliver care. As a result of the deal, CD&R, Vera’s majority equity holder will invest $338 million to support the transaction while Anthem, Inc., a strategic customer of Castlight, will invest in the combined entity. Additionally, Morgan Health, a JP Morgan Chase & Co. business focused on transformation employee healthcare, will remain a key strategic partner.
