Steel Partners, a holding company, will merge with Steel Connect.
Upon closing of the merger, Steel Connect will become a wholly-owned subsidiary of Steel Partners.
Houlihan Lokey is acting as the financial advisor to the Special Committee of Steel Connect, and Imperial Capital is serving as the financial advisor to Steel Partners. Dentons US LLP is serving as legal counsel to the Special Committee, and White & Case LLP is acting as legal counsel to Steel Connect. Greenberg Traurig LLP is serving as legal counsel to Steel Partners.
