GI Partners, a private investment firm with assets under management totaling $35 billion, has acquired Atlas Technical Consultants Inc., a provider of infrastructure and environmental services, in an all-cash transaction valued at approximately $1.05 billion, including outstanding debt.

Headquartered in Austin, Texas, Atlas partners with clients looking to improve performance and extend the lifecycle of infrastructure assets stressed by climate, health and economic impacts. The company serves public and private sector clients, including those in disciplines such as environmental, testing, inspection and certification, engineering and design and program management, construction management and quality management. Upon completion of the transaction, Atlas’ shares will no longer trade on the Nasdaq and Atlas will become a private company.
