The consideration was to consist of $1.9 billion. in cash and 210 million new common shares valued at $6.836 billion. The shares were valued based on Gardner's closing stock price of $32.55 on 29 April 2019, the last full trading day prior to the announcement. Upon completion, Gardner and Ingersoll Rand Industrial shareholders were to own 49. 9% stake and 50.1% interest in the merged entity, respectively. The merged entity was to be renamed Ingersoll Rand and to be listed in NYSE under ticker IR.
