Badlands Energy LLC | Heckmann Corp

Heckmann Corp definitively agreed to merge with Badlands Energy LLC, a provider of oil drilling services, for $530.55 million. The consideration was to consist of $125 million in cash, $150 million in the assumption of existing liabilities and the issuance of 95 million Heckmann common shares valued at $255.55 million. The shares were valued based on Heckmanns closing stock price of $2.69 on August 31, 2012. Originally in September 2012, Heckmann was rumored to be in negotiations to acquire BE.

Seesmic Inc | HootSuite Media Inc

HootSuite Media Inc acquired Seesmic Inc, a San Francisco-based provider of online video sharing, conversation and networking services. Terms were not disclosed.

IdentiSys Inc acquired the identification, security, and presentation divisions of Mountainland Business Systems, a Salt Lake City-based provider of identification technology services.

Whentech LLC | IntercontinentalExchange Inc

IntercontinentalExchange Inc acquired WhenTech LLC, a New York-based developer of risk management software. Terms were not disclosed.

Dick Clark Productions Inc | Investor Group

An investor group, comprised of Mosaic Media Investment Partners LLC, Guggenheim Partners LLC and Mandalay Entertainment Group, definitively agreed to acquire Dick Clark Productions Inc, a Santa Monica-based provider of TV program production services, from RedZone Capital Management Co LLC, in a secondary buyout transaction. Terms were not disclosed. Originally, in June 2012, Dick announced that it was seeking a buyer for the company and Ryan Seacrest, Colony Capital LLC, Guggenheim Partners LLC and Core Media Group were named to be potential bidders. Previously, RedZone acquired Dick in a leveraged buyout transaction.

Equinix Inc-Data Centers(16) | Investor Group

An investor group comprised of Housatonic Partners, Crosslink Capital and 365 Main Inc planned to acquire the 16 International Business Exchange data centers of Equinix Inc, a provider of data center services, in a leveraged buyout transaction, for an estimated $75 million.

High Pressure Equipment Co Inc | Investor Group

A management-led investor group, comprised of Wasserstein & Co LP, acquired an undisclosed majority interest in High Pressure Equipment Co Inc, a manufacturer of high pressure valves, from the James Family, in a leveraged buyout transaction. Terms were not disclosed.

Parfums de Coeur Ltd | Investor Group

An investor group, led by Yellow Wood Partners LLC and the management of Parfums de Coeur Ltd, acquired Parfums, a Darien- based manufacturer and wholesaler of men and womens fragrances and boy care products, in a leveraged buyout transaction.

SPI | Investor Group

An investor group, comprised of Partners Group AG of Switzerland and Avista Capital Holdings LP, acquired Strategic Partners Inc, a Chatsworth-based manufacturer of medical, school, and footwear uniform apparel, in a leveraged buyout transaction. Terms were not disclosed, but according to sources, the deal was valued at $200 million.

Bivio Networks Inc-Business | ISC8 Inc

ISC8 Inc agreed to acquire the NetFalcon and Network Content Control System business of Bivio Networks Inc, a Pleasanton- based provider of network control services, for $10. 5 million in cash and ISC8 common shares, and the assumption of undisclosed amount in liabilities.

News Channel 5 Network LLC | Journal Broadcast Group Inc

Journal Broadcast Group, a unit of J Journal Communications Inc, definitively agreed to acquire News Channel 5 Network LLC, a Nashville, Tenn.-based operator of television stations, from Landmark Media Enterprise LLC, for $215 million in cash.

AltaSens, Inc. | JVC KENWOOD Corp

JVC Kenwood Corp of Japan acquired AltaSens Inc a California-based provider of imaging sensors for an estimated $6.379 million.

TIMESLIPS Corp | KDA Group Inc

KDA Group Inc acquired certain assets of TMP Directional Marketing LLC, a provider of marketing services and a majority-owned unit of Audax Group LP.

Kodiak Pacific Constr-Division Kerr Contractors Inc

Kerr Contractors Inc acquired the milling division of Kodiak Pacific Construction Co, a construction company.

Allied Transportation Co | Kirby Corp

Kirby Corp agreed to acquire Allied Transportation Co, a Norfolk-based provider of inland tank barges and tugboats services, from Allied Marine Industries Inc, for an estimated $116 million. The consideration was to consist of $106 million in cash and up to $10 million in profit-related payments.

EDIWatch Inc | LexisNexis Risk Solutions

LexisNexis Risk Solutions, a unit of Reed Elsevier PLCs LexisNexis Group subsidiary, acquired EDIWatch Inc, a developer of insurance fraud detection and prevention software.

Originally, in March 2012, Hartford announced that it was seeking a buyer for Individual Life, Retirement Plans and Woodbury Financial Services units.

NEAH offered 0.5 stock per Thermo common share. Upon completion, the merged entity will be named NEAH Energy Holdings Inc.

NFR Energy-Natural Gas | NorthWestern Corp

NorthWestern Corp acquired the operating and non-operating natural gas production interests of NFR Energy LLC, a Houston- based oil and gas exploration and production company, and a joint venture between First Reserve Corp and Nabors Industries Ltd, for an estimated $19.5 million. The transaction included NFR's 75% interest in the Lodge Creek and Willow Creek Gas Gathering Systems.

SGS International Inc | Onex Corp

Onex Corp of Canada agreed to acquire SGS International Inc, a graphics design firm, from Court Square Capital Partners LP, for $813 million in cash, in a leveraged buyout transaction.

Pamlico Capital acquired HealthcareFirst Inc, an Ozark- based developer of management software, in a secondary buyout transaction. Terms were not disclosed. Previously, The Riverside Co acquired HealthcareFirst.

PECO-ARC Institutional Joint Venture I LP, a joint venture between Phillips Edison-ARC Shopping Center REIT Inc and CBRE Global Investors, acquired Richmond Plaza and Publix At Northridge, an Augusta-based owner and operator of shopping centers.

American Realty Capital Tr Inc | Realty Income Corp

Realty Income Corp definitively agreed to acquire the entire share capital of American Realty Capital Trust Inc, a New York-based owner and operator of real estate property, in a stock swap transaction valued at $3.035 billion, including the assumption of $1.1 billion in liabilities. Realty offered 0. 2874 shares per American Realty share.

Trinity Industries Inc agreed to acquire certain assets, located in North Dakota, Oklahoma, and Ontario, Canada, of DMI Industries Inc, a Fargo, N.D.-based manufacturer of wind turbine towers, and a unit of Otter Tail Corp, for an estimated $20 million.

Medicis Pharmaceutical Corp | Valeant Pharm Intl Inc

Valeant Pharmaceuticals International Inc of Canada, definitively agreed to acquire the entire share capital of Medicis Pharmaceutical Corp, a Scottsdale, Ariz.-based manufacturer of dermatological products, for $44 in cash per share, or a total value of 3.074 billion. Originally, in August 2011, Valeant was rumored to be planning to acquire the entire share capital of Medicis.

Wright Express Corp definitively agreed to acquire Fleet One Holdings LLC, a provider of payment solutions, from LLR Partners Inc and FFV Management Co LP, for $369 million in cash.

America Metal Export Inc | Ye Chiu Metal Smelting Bhd

Ye Chiu Metal Smelting Bhd of Malaysia, a wholly- owned unit of Yechiu Metal Recycling Ltd of China, planned to acquire the remaining 20% stake, which it did not already own, in America Metal Export Inc, a scrap metal wholesaler, from Ling-Mei Lai, $1.28 million.
