Clayton, Dubilier & Rice LLC definitively agreed to acquire an undisclosed majority interest in David's Bridal Inc, a Conshohocken- based owner and operator of women's clothing stores, from Leonard Green & Partners LP, for $1.05 billion cash, in a secondary buyout transaction. Originally, In August 2012, Clayton was rumored to be planning to acquire David's, from Leonard Green & Partners LP and TPG Capital LP, in a secondary buyout transaction.

TimberTech Ltd | CPG International Inc

CPG International Inc definitively agreed to acquire TimberTech Ltd, a Wilmington, Ohio-based manufacturer and wholesaler of wood building products, from Crane Group Cos Ltd.

Contec LLC | Creditors

Contec LLC, a Schenectady, N.Y.-based provider of set-top-box repair services, a subsidiary of Bain Capital LLC, agreed to a debt restructuring transaction with creditors including Barclays plc. Upon completion, CRs were to hold an 80% interest in the restructured CLLC. The book value of the existing debt that will be exchanged under the terms of the offer is $360 million.

Goodman Global Inc | Daikin Industries Ltd

Daikin Industries Ltd of Japan definitively agreed to acquire the entire share capital of Goodman Global Inc, a Houston-based manufacturer and wholesaler of air conditioning products, from Hellman & Friedman LLC, for $3.7 billion, via auction. Originally, Hellman was rumored to be seeking a buyer for Goodman.

SBSI Nutraceuticals Inc | EnerBrite Technologies Group

EnerBrite Technologies Group Inc acquired SBSI Nutraceuticals Inc, a Holbrook, N.Y.-based manufacturer and wholesaler of nutraceutical products.

SeaBright Holdings Inc | Enstar Group Ltd

Enstar Group Ltd of Bermuda, through its wholly owned AML Acquisition Corp unit, definitively agreed to acquire the entire share capital of SeaBright Holdings Inc, a Seattle-based insurance company, for $11. 11 in cash per share, or a total value of $251.403 million.

Group8 Minerals | First Liberty Power Corp

First Liberty Power Corp agreed to acquire an 81% interest in Group8 Minerals, a mineral mining company, from Group8 Mining Innovations, for $3.088 million. The consideration was to consist of $0.1 million and the issuance of 83 million Group8 common shares valued at $2.988 million. The shares were valued based on First's closing stock price of $0.036 on Aug. 27 2012, the last full trading day prior to the announcement.

Gayston Corp-Defense Op | General Dynamics Corp

General Dynamics acquired the defense operations of Gayston Corp, a manufacturer of aerospace and defense equipment. Terms were not disclosed.

Dollar Thrifty Automotive | Hertz Global Holdings Inc

Hertz Global Holdings Inc definitively agreed to merge with Dollar Thrifty Automotive Group Inc, a Tulsa, Okla.-based provider of passenger car rental services, for $87.5 in cash per share or a total value of $2.568 billion, via a tender offer transaction. The offer was conditioned upon at least a majority of Hertzs common shares being tendered.

Winterfield LLC | Huhtamaki Inc

Huhtamaki Inc, a unit of Huhtamaki Oyj, acquired Winterfield LLC, a Glenview, Ill.- based manufacturer of disposable paper products, for $15.011 million.

Kenexa Corp | IBM Corp

International Business Machines Corp definitively agreed to acquire the entire share capital of Kenexa Corp, a Wayne-based developer of recruitment solutions services, for $46 in cash per share, or a total value of $1.348 billion. Upon completion, Kenexa shares were to be delisted from the New York Stock Exchange.

The Shops at Moore | Inland RE Acquisitions Inc

Inland Real Estate Acquisitions Inc acquired The Shops at Moore, a Moore, Okla.-based retail center operator, for $38.75 million in cash.

Cliffs Club & Hospitality | Investor Group

An investor group, comprised of Silver Sun Partners LLC, Carlile Group, SunTX Urbana, and Arendale Holdings, acquired bankrupt Cliffs Club & Hospitality Group Inc, an operator of hotels, and a unit of Cliffs Communities Inc. Originally, in February, Cliffs announced that it was seeking a buyer for the company.

Pacific Northwest Senior Care | Investor Group

An investor group, comprised of American Healthcare Investors LLC, Griffin Capital Corp, and Griffin-American Healthcare REIT II, a unit of Grubb & Ellis Co, acquired the Pacific Northwest Senior Care Portfolio, for an estimated $103 million. The transaction included seven medical office buildings in Illinois, Texas, Tennessee and Georgia.

Club Deportivo Chivas USA | Investor Group

MEXICO - An investor group, comprised of Jorge Vergara and Angelica Fuentes, acquired the remaining 50%, which it did not already own, in Club Deportivo Chivas USA, a Los Angeles-based provider of soccer club services, from Antonio and Lorenzo Cue.

Nexis Healthcare Inc | IPC The Hospitalist Co Inc

IPC The Hospitalist Co Inc acquired Nexis Healthcare Inc, a Taunton- based provider of medical practice services. Concurrently, IPC acquired Omni Medical Diagnostics and Park Medical Associates LLC.

MGC Diagnostics Corp-New Leaf | Life Time Fitness Inc

Life Time Fitness Inc acquired the New Leaf business, a Saint Paul-based medical instruments manufacturer, from MGC Diagnostics Corp for $1.235 million in cash.

Hudson City Bancorp Inc | M&T Bank Corp

M&T Bank Corp agreed to acquire the entire share capital of Paramus-based Hudson City Bancorp Inc, in a stock swap transaction valued at $3. 811 billion. M&T offered 0.08403 common shares per Hudson share, subject to proration whereby 60% of the consideration was to be paid in common stock and 40% in cash.

Columbus Silver Corp-Silver | Magellan Gold Corp

Magellan Gold Corp was granted an option to acquire the Silver District property, located in Arizona of Columbus Silver Corp, a Vancouver-based silver and gold mining company, for $1.013 million.

RASIRC Inc | Matheson Gas Products Inc

Matheson Gas Products Inc, a unit of Taiyo Nippon Sanso Corp, acquired an undisclosed majority interest in RASIRC Inc, a San Diego-based manufacturer of ultra liquid and gas purifier.

Ascender Software LLC | Matrix Medical Network

Matrix Medical Network, a unit of Welsh, Carson, Anderson & Stowe, acquired Ascender Software LLC, a San Diego-based developer of health and medical data management software, for an undisclosed amount in cash.

The Naked Edge LLC | Mister Goody Inc

Mister Goody Inc acquired a 50% stake in The Naked Edge LLC, a Boulder, Colo.-based producer and wholesaler of organic snacks, for $0.065 million.

OPEL Tech Inc-Solar Assets | Northern States Metals Co

Northern States Metals Co acquired the solar assets of OPEL Technologies Inc, a Toronto-based manufacturer and wholesaler of solar cells.

MCS Ventures-Assets & Certain | One Health Urgent Care Inc

One Health Urgent Care Inc, a wholly-owned unit of Big Eye Capital Inc's Capital Group Holdings Inc, definitively agreed to acquire assets and certain liabilities of MCS Ventures I Inc, MCS Ventures II Inc, MCS Ventures III PC, MCS Ventures IV PC, MCS Ventures IV PC, MCS Ventures V PC, MCS Ventures VI PC, and MCS Ventures VII PC, Arizona- based venture capital firms, in exchange for 5 million third party Capital restricted common shares and up to an undisclosed amount in profit- related payments.

Freeh Sporkin & Sullivan LLP | Pepper Hamilton LLP

Pepper Hamilton LLP planned to merge with Freeh Sporkin & Sullivan LLP, a Wilmington-based law firm. Terms were not disclosed. The transaction was to include Freeh Group International Solutions LLC.

Scorpio Gold Corp of Canada, a majority owned unit of Scorpio Mining Corp signed a letter of intent to acquire the Goldwedge, Pion and Fondaway Canyon properties, located in Nevada of Royal Standard Minerals Inc, a gold mining company, for $25.115 million.

SAIC-Govt Technical Services Business | Shareholders

SAIC Inc, a Mclean, Va.-based provider of system integration services, planned to spin off its Government Technical Service/IT business to its shareholders.

Magellan Petroleum Corp | Stratex Oil & Gas Holdings Inc

Stratex Oil & Gas Holdings Inc planned to launch a tender offer to acquire the entire share capital of Magellan Petroleum Corp, a Denver-based oil and gas exploration and production company, for $2.3 in cash per share, or a total value of $128.034 million.

Elevation Pharmaceuticals Inc | Sunovion Pharmaceuticals Inc

Sunovion Pharmaceuticals Inc, a unit of the Aptiom Inc wholly-owned subsidiary of Dainippon Sumitomo Pharma Co Ltd's Dainippon Sumitomo Pharma America Holdings Inc wholly-owned unit, definitively agreed to acquire Elevation Pharmaceuticals Inc, a San Diego-based manufacturer of respiratory pharmaceuticals, for an estimated $430 million.

Metropolitan Senior Housing | Sunrise Senior Living Invest

Sunrise Senior Living Investments Inc, a wholly- owned subsidiary of Sunrise Senior Living Inc, agreed to acquire the remaining 75% interest in Metropolitan Senior Housing LLC, a real estate management and development firm, from HVP Sun Investor LLC, for an estimated $120 million.

DuPont-Profefssional Prod Bus | Syngenta AG

Syngenta AG of Switzerland agreed to acquire the Professional Products insecticide business of El du Pont de Nemours & Co Inc, a Wilmington, Del.-based manufacturer of chemical and electronic products, for $125 million.

DuPont-Coatings Unit | The Carlyle Group LP

The Carlyle Group LP definitively agreed to acquire the Performance coatings unit of EI du Pont de Nemours & Co, a Wilmington-based manufacturer of chemical and electronic products, for $4.9 billion in cash, in a leveraged buyout transaction. Originally, in October 2011, DuPont announced that it was seeking a buyer for its Performance coatings unit. Valspar Corp, Akzo Nobel NV, Carlyle Group LP, Apollo Global Management LLC, TPG Capital LP, Advent International, KKR & Co LP, Onex Corp, Bain Capital, Clayton Dubilier & Rice LLC, CVC Capital Partners and Blackstone Group LP were potential bidders.

Orthodontic Design & Prod Inc | The Riverside Co

The Riverside Co acquired Orthodontic Design & Production Inc, a Vista-based manufacturer of orthodontic products, in a leveraged buyout transaction.

Deltek Inc | Thoma Bravo LLC

Thoma Bravo LLC definitively agreed to acquire the entire capital of Deltek Inc, a Herndon-based developer of enterprise applications software, from New Mountain Capital LLC (59.5%) and other shareholders (40.5%), for $13 in cash per share, or a total value of $915.969 million in cash, in a secondary buyout transaction. Hellman & Friedman LLC & Bain Capital LLC were named as potential bidders. Previously, New Mountain acquired a 75% interest in Deltek, in a leveraged buyout transaction.

TPC Group Inc | TPC Group Inc SPV

TPC Group Inc SPV, a special purpose acquisition vehicle created by First Reserve Corp and SK Capital Partners LP, definitively agreed to acquire the entire share capital of TPC Group Inc, a Houston-based manufacturer of chemical products, for $40 in cash per share, or a total value of $945.728 million. Originally, in August 2012, FR was rumored to be in negotiations to acquire TPC.

TMW Systems Inc | Trimble Navigation Ltd

Trimble Navigation Ltd definitively agreed to acquire the entire share capital of TMW Systems Inc, a Beachwood-based developer of enterprise transportation software, from Pamlico Capital LLC, for $335 million in cash.

BeehiveLive Inc | Tri-Media Integrated Mktg Tech

CANADA - Tri-Media Integrated Marketing Technologies Inc, a unit of Andromeda Media Capital Corp Ltd, acquired the remaining undisclosed minority stake, which it did not already own, in BeehiveLive Inc, Towson-based developer of marketing software, for CAD$0.522 million.

Drug Safety Alliance Inc | United Drug plc

United Drug PLC of Ireland agreed to acquire the entire share capital of Drug Safety Alliance Inc, a Durham- based provider of pharmaceutical safety and risk management services, for $28 million. The consideration was to consist of $21 million in cash and up to $7 million in profit-related payments. Concurrently, United agreed to acquire Synopia RX LLC.

Synopia RX LLC | United Drug plc

United Drug PLC of Ireland agreed to acquire the entire share capital of Synopia RX LLC, a Cary-based provider of medical and healthcare services, for an estimated $12 million. The consideration was consisted of $3.2 in cash and $8.8 million in profit-related payments. Concurrently, United Drug PLC of Ireland agreed to acquire the entire share capital of Drug Safety Alliance Inc.

Johnnie's Foodmaster-Stores 6 | Whole Foods Market Inc

Whole Foods Market Inc was rumored to be planning to acquire 6 stores of Johnnie's Foodmaster Inc, a Somerville- based owner and operator of supermarkets.

Shearer's Foods Inc | Wind Point Partners

Wind Point Partners agreed to acquire Shearer's Foods Inc, a Brewster, Ohio-based producer and retailer of snack foods, from Mistral Equity Partners LLC, in a secondary buyout transaction. Previously, Mistral acquired Shearer's, in a leverage buyout transaction.
