Target Logistics Mgmt LLC | Algeco Scotsman Inc              

Algeco Scotsman Inc, a majority-owned unit of TDR Capital LLP, agreed to merge with Target Logistics Management LLC, a Boston-based provider of workforce housing services, for an estimated $625 million. The consideration was to consist of $86 million in cash, $86 million in Algeco stock, the assumption of $103 million in liabilities and up to $350 million in performance- related payments.

New England Gas Co | Algonquin Power & Utilities         

Algonquin Power & Utilities Co of Canada, through an undisclosed subsidiary, agreed to acquire New England Gas Co, a New Bedford-based provider of natural gas services, from Southern Union Co, a unit of Energy Transfer Equity LP, for $74.5 million. The consideration was to consist of $55 million and $19.5 million in the assumption of liabilities.

AGI-Shorewood-Gravure Assets | Amcor Ltd    

Amcor Ltd agreed to acquire the gravure assets and tobacco packaging operations of AGI-Shorewood, a Stamford-based provider of specialty packaging services, and a unit of Atlas Holdings LLC, for $114.8 million.

AOL Inc acquired gdgt. com, a San Francisco-based consumer electronics website, from PastFuture Inc. Terms were not disclosed.

Gulf Coast Asphalt Co-Marine | Arc Terminals Holdings LLC         

Arc Terminals Holdings LLC acquired 2 marine terminalling facilities of Gulf Coast Asphalt Co, an owner and operator of marine terminals.

MediVista Media LLC-Everwell | Ascent Media CANS LLC

Accent Media CANS LLC, a joint venture between Ridgemont Equity Partners and MC Venture Partners, acquired the Everwell waiting room television network of MediVista Media LLC. Concurrently, Accent Medeia CANS LLC acquired the health panel business of Havas Impact.

Accent Media CANS LLC, a joint venture between Ridgemont Equity Partners and MC Venture Partners, acquired the health panel business of Havas Impact, a Chicago-based provider of advertising and marketing services, and a unit of Havas Worldwide. Concurrently, Accent Media CANS LLC acquired the Everwell waiting room television network of MediVista Media LLC.

Babcock & Brown-Apartments | Brookfield Asset Management                Brookfield Asset Management Inc of Canada acquire the portfolio of 19 apartment communities, of Babcock & Brown Residential, a Charlotte-based real estate company, for $414 million.

Paperless Office Solutions | Capsilon Corp          

Capsilon Corp agreed to acquire Paperless Office Solutions, a San Francisco- based provider of cloud-based document sharing, imaging and collaboration solutions, from Flagstar Bancorp Inc. Terms were not disclosed.

AssuraMed Holding Inc | Cardinal Health Inc      

Cardinal Health Inc agreed to merge with AssuraMed Holding Inc, a Twinsburg-based wholesaler of medical devices, from Clayton, Dubilier & Rice LLC and GS Capital Partners VI Fund LP, a unit of GS Capital Partners LP, subsidiary of Goldman Sachs Group Inc's Goldman Sachs & Co, for $2.07 bil in cash.

NBCUniversal Media LLC | Comcast Corp             

Comcast Corp definitively agreed to acquire the remaining 49% stake, which it did not already own, in NBCUniversal Media LLC, a New York-based owner and operator of television broadcasting station, from its joint venture partner General Electric Co, for $16. 7 billion. The consideration was to consist of $12 bil in cash, $4 bil in guaranteed debt, and $700 million in preferred stock. Concurrently, Comcast planned to acquire the NBCU occupied floors and CNBC's headquarters of General Electric Capital Corp, a unit of GE, and the board of GE authorized the repurchase of up to $10 bil of the company's common stock outstanding in open market transactions.

Cox Media-TV,Radio Stations | Connoisseur Media LLC

Connoisseur Media LLC definitively agreed to acquire the Southern Connecticut radio stations of Cox Media Group Inc (Cox), an Atlanta-based owner and operator of radio and television stations and a unit of Cox Enterprises Inc. The transaction was to include WPLR-FM, WEZN-FM, WFOX-FM, and contract rights for WYBC-FM. Concurrently, SummitMedia agreed to acquire radio stations of Cox in Birmingham, Greenville, Hawaii, Louisville and Richmond. Originally in July 2012, Cox announced that it was seeking a buyer for its 10 radio and television stations.

Coronet Metals Inc of Canada, was granted an option to acquire the Liberty Precious Metals Testing & Processing Facility, located in Las Vegas, Nevada.

CoveView Capital Partners LLC acquired Handcrafted Homes LLC, a Stamford-based real estate development firm, in a leveraged buyout transaction.

Del-Tin Fiber LLC | Deltic Timber Corp    

Deltic Timber Corp (Deltic) agreed to acquire the remaining 50% interest, which it did not already own, in Del-Tin Fiber LLC Temple- Inland Inc, an El Dorado- based manufacturer and wholesaler of fiberboard products and a joint venture between Deltic (50%) and TIN Inc (50%), a unit of International Paper Cos wholly-owned Temple-Inland Inc subsidiary, for $20 million. The consideration was to consist of $5.156 in cash and assumption of $14.844 million in liabilities.

DS Waters of America Inc, a wholly-owned unit of Kelso & Co acquired the home and office bottled water delivery business of Hillcrest Springs Inc, a Sacramento-based producer and wholesaler of bottled water.

Terms were not disclosed but, according to people familiar with the transaction, the deal was valued at an estimated $450 million.

Homeward Residential Holdings Inc, a unit of Ocwen Financial Corp, agreed to acquire Clearpoint Funding Inc, a Waltham-based provider of mortgage services, from Descap Mortgage Funding LLC (Descap), a unit of Gleacher & Co Inc. Originally, in November 2012, Descap announced that it was seeking a buyer Clearpoint.

Lemhi Gold Trust LLC | Idaho State Gold Co LLC 

Idaho State Gold Co LLC acquired the remaining 51% interest, which it did not already own, in Lemhi Gold Trust LLC, a Boise-based gold mining company, from joint venture partner Northern Vertex Mining Corp, for $7. 65 million in cash.

237 Park Avenue,New York,NY | Investor Group              

An investor group, comprised of RXR Realty LLC and Walton Street Capital LLC, agreed to acquire 237 Park Avenue, a New York-based owner and operator of an office building, from the bankrupt Lehman Brothers Holdings Inc. Terms were not disclosed but, according to people familiar with the transaction, the deal was valued at an estimated $820 million.

Metro Towne Center | Investor Group 

An investor group, comprised of TitanStar Properties Inc and Romspen Mortgage Investment Fund, planned to acquire Metro Towne Center, a Phoenix-based owner and operator of shopping center, for $32 million.

HJ Heinz Co | Investor Group    

An investor group, comprised of Berkshire Hathaway Inc (Berkshire) and 3G Capital Partners Ltd (3G), definitively agreed to acquire the entire share capital of HJ Heinz Co (HJ), a Pittsburgh-based producer of processed food, for $72. 5 in cash per share, or a total value of $23.479 bil including the assumption of an undisclosed amount in liabilities, in a leveraged buyout transaction. Upon completion, Berkshire and 3G were to own a 50% interest each in HJ.

NBCUniversal Media LLC (NBCU), through its affiliates, agreed to acquire the NBCU occupied floors and CNBC's headquarters of General Electric Capital Corp, a Norwalk-based provider of financing services, from General Electric Co, for $1.4 bil in cash. The transaction was to include NBCU at 30 Rockefeller Plaza and CNBC's headquarters in Englewood Cliffs, New Jersey. Concurrently, Comcast Corp definitively agreed to acquire the remaining 49% stake, which it did not already own, in NBCU, from GE and the board of GE authorized the repurchase of up to $10 bil of the company's common stock outstanding in open market transactions.

Opera Software ASA of Norway (Opera), plans to acquire Skyfire Labs Inc, a Mountain View-based developer of mobile browser extension software, for an estimated $155 million. The consideration was to include $50 million in cash, undisclosed amount in Opera ordinary shares, and up to $105 million in profit-related payments.

Z Capital Partners LLC planned to launch a tender offer to acquire the remaining 69.491% interest or 14.056 million shares, which it did not already own, in Affinity Gaming LLC, a Las Vegas-based owner and operator of casino hotels, for $14 in cash per share, or a total value of $196.782 million, in a leveraged buyout transaction. The offer was conditioned upon at least a majority of Affinity's shares being tendered.
