The transaction included Global Tooling Systems LLC, Coast Composites LLC, Composites Horizon LLC and Texstars LLC.

Arc Ventures LC acquired Falling Springs LLC, a Richmond-based provider of environmental management services, from Tredegar Corp, for $16 mil in cash and common stock.

DTE Gas Resources LLC | Atlas Resource Partners LP       

Atlas Resource Partners LP, a unit of the Atlas Energy LP subsidiary of Chevron Corp's Atlas Energy Inc unit, definitively agreed to acquire DTE Gas Resources LLC, a Fort Worth-based oil and gas exploration and production company, from DTE Energy Co, for an estimated $255 mil.

CEVA Inc planned to launch an unsolicited tender offer to acquire the entire share capital of MIPS Technologies Inc, a Sunnyvale0based manufacturer of processor architectures and cores for digital home, networking and mobile applications for $75 mil in cash.

Credit Union of America agreed to merge with First Choice Credit Union, a Wichita-based provider of financial services. Terms were not disclosed.

Quanta Services-Telecom Subs | Dycom Industries Inc  

Dycom Industries definitively agreed to acquire the telecommunications subsidiaries of Quanta Services Inc, a Houston-based provider of specialized contracting services, for an estimated $275 mil in cash.

Electronics for Imaging Inc{EPI} acquired Technique Inc, a Delaware-based provider of software services. Terms were not disclosed.

Endurance Specialty Holdings Ltd acquired Galileo Weather Risk Management Advisors LLC, a New York- based provider of financial services.

The Dry Fried Wing Co | Energy Edge Technologies Corp               

Energy Edge Technologies Corp acquired a 65% interest in The Dry Fried Wing Co, a Fort Lauderdale-based provider of franchising and licensing services.

Ramal East Vineyard | Foley Family Wines           

Foley Family Wines acquired Ramal East Vineyard, a Sonoma County-based owner and operator of a vineyard. Terms were not disclosed.

vWorker | Freelancer Australia Pty Ltd  

Freelancer Australia Pty Ltd acquired vWorker, a Tampa- based provider of internet employment search engine services. Terms were not disclosed.

Morris Technologies Inc | GE Aviation Systems LLC          

GE Aviation Systems LLC, a majority-owned unit of General Electric Co, acquired Morris Technologies Inc, a Cincinnati-based manufacturer of product design and development technologies. Terms were not disclosed. The transaction was to include Rapid Quality Manufacturing Inc.

Genesis Group Holdings Inc agreed to acquire the entire share capital of Integration Partners, a Parsippany-based data network engineering firm. Terms were not disclosed.

Green Wire LLC | GWire Corp    

GWire Corp, a unit of ActiveCare Inc (ActiveCare), acquired Green Wire LLC, an Orem-based provider of telemarketing services, for an estimated $2.740 mil. The consideration consisted of $2.690 mil in cash and $0.05 mil in ActiveCare Series D convertible preferred stock. The transaction included Rapid Medical Response LLC, Orbit Medical Response LLC, and Green Wire Outsourcing Corp.

Havana Gold LLC agreed to acquire the real estate assets located in Denver, of Scott's Liquid Gold-Inc, a Denver-based manufacturer and wholesaler of household and skin care products, for $9. 5 mil.

HD Supply Waterworks Inc, a unit of HD Supply Inc, definitively agreed to acquire Water Products Inc, an Owasso-based provider of water, sewer, and gas systems installation services.

Accelerated Acquisitions XXI | Helios Energia Ltd              

Helios Energia Ltd raised its interest to 94% from 5.674%, by acquiring a further 88.326% interest, in Accelerated Acquisitions XXI Inc, a Foster City-based investment company, for a nominal consideration of $2,332.

MEMSIC Inc | IDG-Accel China Growth Fund      

IDG-Accel China Growth Fund II LP of Hong Kong planned to launch an unsolicited tender offer to acquire the remaining 80.474% interest, or 19.474 mil commons shares, in MEMSIC Inc (MEMSIC), an Andover-based manufacturer of semiconductor sensor and system products, for $4 in cash per share, or a total value of $77. 897 mil in cash. Upon completion, MEMSIC common shares will be delisted in the NASDAQ Stock Exchange.

AuthenTec Inc-Embedded | Inside Secure SA    

Inside Secure SA of France agreed to acquire the embedded security solutions of AuthenTec Inc, Melbourne- based manufacturer of semiconductors, for $48 mil.

Herrington Catalog | Investor Group      

A management-led investor group, including Norm Beauchesne, agreed to acquire Herrington Catalog, a Londonderry-based provider of ecommerce retail services.

Compact Power Equip Centers In | Investor Group         

An investor group, comprised of Kilmer Capital Partners of Canada, TerraNova Partners LP of Canada, and the management of Compact Power Equipment Centers Inc (Compact), acquired an undisclosed majority interest in Compact, a Fort Mill-based manufacturer and wholesaler of light construction equipment, in a leveraged buyout transaction. Terms were not disclosed.

Alliant Insurance Services Inc | Kohlberg Kravis Roberts & Co     

Kohlberg Kravis Roberts & Co LP, a unit of KKR & Co LP, agreed to acquire Alliant Insurance Services Inc, a Newport Beach-based provider of insurance brokerage services, from Blackstone Group LP, in a leveraged buyout transaction. Terms were not disclosed.

MicroSun Technologies LLC | Marlin Equity Partners LLC               

Marlin Equity Partners LLC acquired MicroSun Technologies LLC, a Woodridge- based manufacturer of lithium- ion battery packs, in a leveraged buyout transaction.

Rise Energy Partners LP-Beta | Memorial Production Partners   

Memorial Production Partners LP definitively agreed to acquire the Beta properties, located in Southern California, of Rise Energy Partners LP, an Irving- based oil and gas exploration and production company, for $271 mil.

Stull Technologies Inc | Mold-Rite Plastics Inc    

Mold-Rite Plastics Inc, a unit of Irving Place Capital Inc acquired Stull Technologies Inc, a Somerset- based manufacturer of dispensing closures, caps, lids, and packaging components.

News Corp was rumored to be planning to acquire Simon & Schuster Inc, a New York- based publishing company, and a unit of CBS Corp's Paramount Communications Inc.

News Corp was granted an option to raise its interest to 80% from 49%, by acquiring a further 31%, in Yankees Entertainment & Sports Network LLC (YES), a New York- based provider of sports broadcasting services. Concurrently, News Corp agreed to acquire a 49% stake in YES.

Oraco Resources Inc (Oraco), through its Oracom Inc unit, agreed to acquire iAlarm Inc, a manufacturer of home security device, in exchange for the issuance of 1 mil Oraco common shares.

Brookfield Office-City Center | Shorenstein Properties LLC         

Shorenstein Properties LLC acquired 33 South 6th Street Minneapolis City Center property of Brookfield Office Properties Inc, a Toronto-based real estate development firm, for $205. 5 mil.

EPM Live LLC | Silverback Enterprise Grp Inc       

Silverback Enterprise Group Inc acquired EPM Live LLC, a Carlsbad-based developer of internet software.

HBA International | Suzhou Gold Mantis Constr

Suzhou Gold Mantis Construction & Decoration Co Ltd agreed to acquire a 70% interest in HBA International, a provider of hotel design services, from 11 individuals, for $75 mil.

Apollo Acquisition Corp | Sword Dancer LLC        

Sword Dancer LLC agreed to acquire a 78.3% interest in Apollo Acquisition Corp, a Houston-based blank check company, from Access America Fund LP, for a nominal consideration of $0.001 mil.

Sunfield Seeds California Inc | Syngenta AG       

Syngenta AG of Switzerland planned to acquire Sunfield Seeds California Inc, a Chico-based provider of sunflower seeds production and processing services. Terms were not disclosed.

Katana Summit LLC-Mnfr Assets               | Valmont Industries Inc              

Valmont Industries Inc acquired the manufacturing assets located in Columbus, from Katana Summit LLC, a Columbus-based wind turbine towers and a joint venture between Katana Industries, SC Steel Investment LLC, and Sumitomo Corp of America, a unit of Sumitomo Corp. Terms were not disclosed.

VizStar Inc agreed to acquire Kimberly Parry Corp, a San Clemente-based manufacturer of organic skin care products.

AltoStor | WANdisco PLC             

WANdisco PLC (WANdisco) of the UK acquired the entire share capital of AltoStor, a Silicon Valley-based developer of software applications, for $368.292 mil. The consideration was to consist of $2.386 mil in cash and issuance of 0.526 mil WANdisco ordinary shares valued at $365.906 mil. The shares were valued based on WANdisco's closing stock price of $695.756 on November 16, the last full trading day prior to the announcement.

BioMimetic Therapeutics Inc | Wright Medical Group Inc              

Wright Medical Group Inc (Wright), a unit of Warburg Pincus LLC's Warburg Pincus Equity Partners LP subsidiary, definitively agreed to merge with BioMimetic Therapeutics Inc (BTI), a Franklin-based biotechnology company, for an estimated $365.982 mil. Wright offered $1.5 cash, 0.2482 common shares, and $6.5 in Contingent Value Right per BTI share. Based on Wright's closing stock price of $20.01 on 16 November 2012, last full trading day prior to the announcement, each BTI share was valued at $12.966.
