Talbots-Credit Card Portfolio|Alliance Data Systems Corp.
Alliance Data Retail Systems Corp agreed to acquire the $145 million credit card portfolio of Talbots Inc., a Hingham, Mass.-based retailer of women's apparel and a unit of Sycamore Partners LLC, for an estimated $10.15 million. The deal was valued based on the 7% standard capitalization rate plus premium paid.

American CyberSystems Inc. acquired COMFORCE Corp, a Bethpage, N.J.-based provider of staffing and consulting services, from CFS Merger Sub Corp, a unit of Abry Partners LLC's CFS Parent Corp.

B&G Foods Inc., a wholly- owned subsidiary of Bruckmann Rosser Sherrill & Co LLC, agreed to acquire New York Style and Old London brands from Chipita America Inc., a manufacturer and distributor of branded breads and snacks, for an estimated $62.5 million in cash.
Becker Underwood Inc|BASF SE
BASF SE of Germany, planned to acquire Becker Underwood Inc., an Ames-based manufacturer and wholesaler of specialty bio-agronomic and colorant chemical products, from Norwest Equity Partners, for $1.02 billion. In July 2012, Norwest was rumored to be seeking a buyer for its Becker unit, via an auction.
Complete Genomics Inc.|BGI
Beijing Genomics Institute of China, through its wholly-owned subsidiary, definitively agreed to acquire the entire share capital of Complete Genomics Inc., a Mountain View, Calif.- based biotechnology company, via tender offer, for $3.15 in cash per share, or a total value of $108.024 million. The offer was conditioned upon at least majority of shares being tendered.
Eclipse Therapeutics Inc.|Bionomics Ltd.
Bionomics Ltd. of Australia acquired Eclipse Therapeutics Inc., a San Diego-based biotechnology company, in exchange for 22.9 million Bionomics ordinary shares valued at $8.05 million. The shares were valued based on Bionomics' closing stock price of $0.34 on 13 September 2012, the last full trading day prior to announcement.
Vivint Inc.|Blackstone Capital Partners VI
Blackstone Capital Partner VI LP, a wholly-owned unit of Blackstone Group LP, definitively agreed to acquire Vivint Inc., a Provo-based provider of security systems services, from Goldman Sachs Grupo de Merchant, a unit of Goldman Sachs Group Inc., for an estimated $2 billion in cash, in a leveraged buyout transaction. Blackstone, Ares Management LLC, and GTCR LLC were named potential bidders. Terms were not disclosed but according to people close to the matter, the deal had an estimated value of $2 billion.

Boston Scientific Corp. definitively agreed to acquire BridgePoint Medical Inc., a Plymouth, Mass.-based manufacturer of catheters, from Ability Prosthetics & Orthotics Inc. Terms were not disclosed.

The offer was conditioned upon at least a majority of Learning's shares being tendered.

An investor group, comprised of Exxon Mobil Corp (Exxon) and XTO Energy Inc., a wholly-owned unit of Exxon, agreed to acquire the Bakken assets, located in North Dakota and Montana, of Denbury Onshore LLC, a Plano, Texas-based oil and gas exploration and production company and a unit of Denbury Resources Inc., for $1.6 billion in cash.

iRobot Corp agreed to acquire Evolution Robotics Inc., a Pasadena-based developer of robotics solutions, for $74 million in cash.
