Boardwalk Pipeline Partners LP -- Loews Corp.
Loews Corp. agreed to raise its stake to 64.08% from 60.46% by acquiring a 3. 62% stake, or 6.685 mil newly issued common shares, in Boardwalk Pipeline Partners LP, a Owensbro-based owner and operator of natural gas pipelines, for $21.99 per share, or a total value of $147 mil, in a privately negotiated transaction.

Oettinger Davidoff Group of Switzerland acquired Cusano Cigars, a Bradenton- based manufacturer of cigars and cigarette products.
Cruise Adventures -- PTN Inc.
PTN Inc. agreed to acquire Cruise Adventures, a Fresno-based travel agency.

Baxter International Inc. definitively agreed to acquire the continuous renal replacement therapy business of Edwards Lifesciences Corp., an Irvine-based manufacturer of medical products and technologies, for $65 mil. The consideration was to consist of $56 mil in cash and up to $9 mil in profit-related payments.
eResearchTech Inc. (EDC Business) -- OmniComm Systems Inc.
OmniComm Systems Inc. (OSI) acquired the EDC business (EDC) of eResearchTechnology Inc. (ERT), a Philadelphia-based provider of clinical software services, for $3.175 mil. The consideration consisted of $1.15 mil in cash, and the issuance of 8.1 mil common shares valued at $2.025 mil, and the assumption of certain liabilities. The shares were valued based on ERT's closing stock price of $0.25 on 22 June 2009, the last full trading day prior to the announcement. The transaction was to include all EDC fixed assets, software, and applications. On completion, OSI was to open a new branch in New Jersey to operate the newly- acquired EDC business.
F&A Dairy of California Inc. -- Saputo Inc.
Saputo Inc. agreed to acquire F&A Dairy of California Inc., a Newman-based producer, retailer and wholesaler of dairy products, for an undisclosed amount in cash.
WH Comm -- Iowa Telecom Services Inc.
Iowa Telecommunications Services Inc. agreed to acquire WH Comm, a Minneapolis-based provider of telecommunications services, from Wright-Hennepin Cooperative Electric Association, for $1.1 mil.
Green Eco Sys LLC -- Genesis Invest AG
Genesis Invest LLC of Switzerland acquired a 51% interest in Green Eco Sys LLC, a Miami-based manufacturer and distributor of alternative ecological products.
IDM Pharma Inc. -- Takeda America Holdings Inc.
Takeda America Holdings Inc. (Takeda America), a unit of Takeda Pharmaceutical Co Ltd of Japan, launched a mandatory tender offer to acquire the remaining 13.59% stake, or 3.436 mil common shares, in IDM Pharma Inc. (IDM), an Irvine-based biopharmaceutical company, for $2.64 in cash per share or a total value of $mil. Concurrently, Takeda America acquired an 86.41% interest in IDM.
Midwest Airlines Inc. -- Republic Airways Holdings Inc.
Republic Airways Holdings Inc. (Republic), a majority-owned unit of Wexford Capital LLC, agreed to acquire the entire share capital of Midwest Airlines Inc. (Midwest), an Oak Creek- based passenger airline, from TPG Capital LP's Midwest Air Group Inc. subsidiary, for $31 mil. The consideration was to consist of $6 mil in cash and $25 mil in notes. Upon completion, Midwest will become a wholly-owned unit of Republic.
Monogram Biosciences Inc. -- Mastiff Acquisition Corp.
Mastiff Acquisition Corp., a unit of Laboratory Corp. of America Holdings, definitively agreed to acquire the entire share capital of Monogram Biosciences Inc., a South San Francisco-based manufacturer of molecular diagnostic products, via a tender offer for $4.55 in cash per share, or a total value of $104.843 mil.
Nevoro Inc. -- Starfield Resources Inc.
Starfield Resources Inc. (Starfield) of Canada definitively agreed to acquire the entire share capital of Nevoro Inc. (Nevoro), a Spokane-based mineral mining, exploration and development company, in a stock swap transaction valued at $mil. Starfield offered 0.87 common share, per Nevoro share, via scheme of arrangement. Based on Starfield?s closing stock price of $0.148 on 22 June 2009, the last full trading day prior to the announcement, each Nevoro share was valued at $0.129. Upon completion, Starfield and Nevoro shareholders were to own 71. 58% and 28.42% in the merged entity respectively.

BC Partners Ltd of the UK acquired Series A redeemable perpetual preferred stock and Series B redeemable conditional convertible perpetual preferred stock convertible into a 20% stake, in Office Depot Inc., a Boca Raton-based wholesaler of office equipment, for $350 mil, in a privately negotiated transaction.
