An investor group, comprised of HM Capital Partners LLC and MaineToday Media Inc., acquired Blethen Maine Newspapers (Blethen), a Portland-based publisher of newspapers, from Seattle Times Co (Seattle), in a leveraged buyout transaction. Originally, in March 2008, Seattle announced that it was seeking a buyer for its Blethen unit. Maine Media Investments and HM Capital Partners LLC were named potential bidders.

Building Materials Holding Corp., a Boise-based provider of residential construction services, agreed to a debt restructuring with Creditors.

Aquiline Capital Partners LLC acquired Conning & Co, a Hartford-based provider of insurance asset management services, from Swiss Reinsurance Co's Conning Corp. unit, in a leveraged buyout transaction. Terms were not disclosed.

Doctor Diabetic Supply Inc. acquired Diabetes Source Rx, a Lafayette-based wholesaler and retailer of diabetic supplies and other products.
Filene's Basement-Stores (17) -- Syms Corp.
Syms Corp. agreed to acquire the stores of Filene's Basement Corp. (Filene's), a Burlington-based retailer of designer clothing, for $62.4 mil, via an auction. Originally, in May 2009, Filene's announced that it was seeking a buyer for its stores. Crown Acquisitions LLC, Syms Corp., and Men's Wearhouse were named potential bidders.
Meriner Municipal Managers LLC -- MacKay Shields LLC
MacKay Shields LLC definitively agreed to acquire Mariner Municipal Managers LLC, a Princeton- based provider of alternative investment management services.
Metaldyne (Certain Assets) -- RHJ International Ltd
RHJ International Ltd (RHJ), a unit of Ripplewood Holdings LLC (Ripplewood), agreed to acquire the certain powertrain and operating assets of Metaldyne Corp. (Metaldyne), a Plymouth-based manufacturer of motor vehicle parts, and a unit of Asahi Tec Corp. (Asahi) majority owned subsidiary of Ripplewood's RHJ, for $39.9 mil. The consideration was prorated at 39.9% based on the 60.1% interest held by RHJ in Asahi. The transaction was to include Metaldynes Sintered Products European assets, Vibration Control Products business unit, and certain Asian operation.

BOKU Inc. (BOKU) acquired Paymo Inc., a San Francisco- based provider of online mobile payment processing services. Concurrently, BOKU Inc. acquired Mobilllcash.

High Velocity Alternative Energy Corp. (High) acquired the entire share capital of Reflectkote Inc., a Lumberville-based manufacturer of reflective coatings, in exchange for 5.83 mil High common shares valued at $0.035 mil. The shares were valued based on High's closing stock price of $0.006 on 15 June 2009, the last full trading day prior to the announcement.
Severstal North America (Allenport plant) -- NATCO
North American Trading Co LLC {NATCO} signed a Letter of Intent {LoI} to acquire the Allenport plant (Allenport) of Severstal North America Inc., a Dearborn- based manufacturer of steel products, and a unit of OAO Severstal. The transaction was to include Allenport's equipment and 400-acre land property.
Stirrings LLC -- Diageo PLC
Diageo PLC of the UK acquired the remaining 80% interest which it did not already own in Stirrings LLC, a New Bedford-based producer, wholesaler and retailer of cocktail mixes.
Tesoro Corp. -- Tetra Tech Inc.
Tetra Tech Inc. acquired Tesoro Corp., a Virginia Beach- based provider of construction management services. Terms were not disclosed.

Scout Exploration Inc. signed a Letter of Intent {LoI} to acquire the entire share capital of Water Wise Environmental Solutions, a manufacturer of water dispenser products, in exchange for 4 mil common shares, valued at $0.64 mil.
Zirh International Corp. -- Procter & Gamble Co
Procter & Gamble Co acquired Zirh International Corp., a New York-based manufacturer and retailer of skin care and shaving products, from Shiseido Co Ltd. Terms were not disclosed.
Beverly National Corp., MA -- Danvers BanCorp Inc., MA
Danvers BanCorp Inc. (Danvers), Danvers, Massachusetts, definitively agreed to merge with Beverly- based Beverly National Corp. (Beverly), a bank holding company, in a stock swap transaction valued at $61. 371 mil. Danvers offered 1.66 common shares per Beverly share. Based on Danvers? closing stock price of $13.88 on 16 June 2009, the last full trading day prior to the announcement, each Beverly share was valued at $23.041.

Sapient Corp. planned to acquire Nitro Group LLC, a New York-based provider of advertisings services. Terms were not disclosed but, according to sources close to the situation, the deal was valued at an estimated $50 mil in cash and stock.
