BTX Holdings Inc. -- Rebornne New Zealand Ltd.
Rebornne New Zealand Ltd. of New Zealand agreed to acquire a 51% interest in BTX Holdings Inc., a Boca Raton- based manufacturer and developer of biomass machinery, for $0.24 million in cash. Concurrently, BTX agreed to acquire the entire share capital of Rebornne and spinoff its BioTex Corp. unit.


BioTex Corp. -- Shareholders
BTX Holdings Inc. (BTX) planned to spin off its BioTex Corp. unit, a Fort Lauderdale-based manufacturer of biomass machinery, to its shareholders. Concurrently, Rebornne New Zealand Ltd. agreed to acquire a 51% interest, or 0.75 million common shares, in BTX.


Digital Network Solutions Inc. -- Omnicity Corp.
Omnicity Corp. agreed to acquire the central Ohio Internet service operation of Digital Network Solutions Inc., doing business as LightSpeed Wireless, a Berlin-based provider of wireless Internet services.


Emcore Corp.-Fiber Optics Bus -- Tangshan Caofeidian Invest Co.
Tangshan Caofeidian Investment Co. Ltd. of China planned to acquire 60% interest in the fiber optics business of Emcore Corp., a Albuquerque-based manufacturer of semiconductors, for $27.8 million in cash.


First Mariner Bancorp, MD -- Bondholders
First Mariner Bancorp (First), a Baltimore-based bank holding company, agreed to a debt restructuring transaction with Bondholders (BH). Upon completion, BHs were to hold undisclosed minority stake in the restructured First.


Flying J Inc.-Oil Refinery -- Alon USA Energy Inc.
Alon USA Energy Inc., a unit of Alon Israel Oil Co. Ltd., planned to acquire the oil refinery, located in California, of bankrupt Flying J Inc., an Ogden-based wholesaler and retailer of diesel fuel, for $40 million.


Home Diagnostics Inc. -- Nipro Corp.
Nipro Corp. of Japan definitively agreed to acquire the entire share capital of Home Diagnostics Inc. (Home Diagnostics), a Fort Lauderdale-based manufacturer and wholesaler of blood glucose monitoring systems and disposable supplies, via a tender offer, for $11.5 in cash per share, or a total value of $194.641 million. The offer was conditioned upon at least a majority of Home Diagnostics shares being tendered.


HotJobs.com Ltd. -- Monster Worldwide Inc.
Monster Worldwide Inc. definitively agreed to acquire HotJobs.com Ltd. (HotJobs.com), a New York-based provider of online recruitment services, from Yahoo! Inc. (Yahoo!), for $225 million in cash. Originally, in July 2009, Yahoo! announced that it was seeking a buyer for its HotJobs.com unit. Concurrently, it Yahoo! was rumored seeking a buyer for its Yahoo Small Business unit.


Hycor Biomedical Inc. -- Linden LLC
Linden LLC acquired Hycor Biomedical Inc., a Garden Grove-based manufacturer and wholesaler of medical and diagnostic products, from Stratagene Corp., a unit of Agilent Technologies Inc., in a leveraged buyout transaction.


Initiate Systems Inc. -- IBM
International Business Machines Corp. {IBM} definitively agreed to acquire Initiate Systems Inc., a Chicago-based developer of master data management (MDM) and enterprise master person Index (EMPI) software. Terms were not disclosed.


Integrys Energy Svcs-Envi Mark -- EDF Trading North America LLC
EDF Trading North America LLC, a wholly-owned unit of French state majority- owned Electricite de France SA {EDF}, definitively agreed to acquire the environmental markets business unit of Integrys Energy Services Inc., a De Pere-based provider of electric marketing and trading services, and a majority-owned unit of Integrys Energy Group Inc. Terms were not disclosed.


Kroll Laboratory Specialists -- Inverness Med Innovations Inc.
Inverness Medical Innovations Inc. agreed to acquire Kroll Laboratory Specialists Inc., a Gretna- based provider of substance abuse testing services, from Kroll Inc., a unit of Marsh & McLennan Cos Inc., for $110 million in cash.


MCC Philips LLC-Phillips Ranch -- Retail Opportunity Invts Corp.
Retail Opportunity Investments Corp. acquired Phillips Ranch Shopping Center from MCC Philips LLC, a Pomona-based and operator of shopping center, for $7. 390 million in cash.


Medley Global Advisors LLC -- Pearson PLC
Pearson PLC of the UK acquired Medley Global Advisors LLC, a New York- based provider of macro policy intelligence services.


Modern Digital Communications -- US Internet Corp.
US Internet Corp. acquired Modern Digital Communications Inc., doing business as Ravon, a Minnetonka-based provider of voice over Internet protocol (VoIP) services. Terms were not disclosed.


SanBio Inc. -- Teijin Ltd.
Teijin Ltd. of Japan acquired a 7% stake in SanBio Inc., a Mountain View-based manufacturer of pharmaceuticals for neurological disorders.


Silicon Storage Technology Inc. -- Microchip Technology Inc.
Microchip Technology Inc. definitively agreed to acquire the entire share capital of Silicon Storage Technology Inc., a Sunnyvale- based manufacturer and wholesaler of flash memory and non-memory semiconductor components, for $2.85 in cash per share, or a total value of $273.184.


Symphony Marketing Solutions -- Genpact Ltd.
Genpact Ltd. of Bermuda acquired Symphony Marketing Solutions Inc., a Southport- based provider of marketing services, from Symphony Technology Group LLC.


Teknovus Inc. -- Broadcom Corp.
Broadcom Corp. definitively agreed to acquire the entire share capital of Teknovus Inc., a Petaluma-based manufacturer of EPON chipset semiconductors, for an estimated $123 million in cash.


Unisys-Check, Cash Automation -- Burroughs Payment Systems Inc.
Burroughs Payments Systems Inc., a unit of Marlin Equity Partners LLC, acquired the check & cash automation equipment business of Unisys Corp., a Blue Bell-based manufacturer of electronic information systems and related products. Terms were not disclosed.


Hardinge Inc. -- Industrias Romi SA
Industrias Romi SA of Brazil planned to launch an unsolicited offer to acquire the entire share capital of Hardinge Inc., an Elmira-based manufacturer of turning and milling equipment, for $8 in cash per share, or a total value of $92.178 million.


Undisclosed Mutual Ditch Co. -- Two Rivers Water Co.
Two Rivers Water Co. agreed to raise its interest to 90% from 55%, by acquiring a 35% stake, in Huerfano Cucharas Irrigation Co., a Pueblo-based provider of water utility services.
