Blackwater Midstream Corp. signed a Memorandum of Understanding (MoU) to acquire an undisclosed liquid terminal facility, a Brunswick-based provider of terminal storage services, for $1.8 million.
BioTrends Research Group Inc. -- Decision Resources Inc.
Decision Resources Inc. acquired BioTrends Research Group Inc., an Exton-based provider of market research services. Terms were not disclosed.
COMSYS IT Partners Inc. -- Manpower Inc.
Manpower Inc. agreed to acquire the entire share capital of COMSYS IT Partners Inc. (COMSYS), a Houston-based provider of information technology services, for a total value of $372.183 million, via a tender offer. Manpower offered a choice of $17.65 in cash or $17. 65 in common stock, subject to proration whereby 50:50 of the consideration was to be paid in cash and common stock respectively. The offer was conditioned upon at least a majority of COMSYS's shares being tendered on a fully diluted basis.

Nipro Corp. of Japan definitively agreed to acquire the entire share capital of Home Diagnostics Inc. (Home Diagnostics), a Fort Lauderdale-based manufacturer and wholesaler of blood glucose monitoring systems and disposable supplies, via a tender offer, for $11.5 in cash per share, or a total value of $194.641 million. The offer was conditioned upon at least a majority of Home Diagnostics shares being tendered.
