MTI Micro Fuel Cells Inc. -- Counter Point Venture Fund II
Counter Point Ventures Fund II LP agreed to acquire an undisclosed minority stake, or 28.571 million common shares, in MTI Micro Fuel Cells Inc, an Albany-based manufacturer of batteries, from Mechanical Technology Inc, for $2 million.


Bare Escentuals Inc. -- Shiseido Co. Ltd.
Shiseido Co. Ltd of Japan definitively agreed to acquire the entire share capital of Bare Escentuals Inc. (Bare), a San Francisco- based manufacturer and wholesaler of cosmetics, skin care and body care products, via a tender offer for $18. 2 in cash per share, or a total value of $1.74 billion, from Berkshire Partners LLC (16%) and other shareholders. The offer was conditioned upon at least a majority of Bare's shares being tendered on a fully-diluted basis.

Kit Masters Inc. acquired the Fan Drive/Clutch Business of Bendix Commercial Vehicle Systems LLC, an Elyria-based manufacturer and wholesaler of air brake systems and components.


Undisclosed Direction Svcs Co. -- Enseco Energy Services Corp.
Enseco Energy Services Corp. (Enseco) of Canada definitively agreed to acquire an undisclosed directional services, for $7.681 million. The consideration was to consist of CAD 4 million in cash, $3 million in 10% convertible secured subordinated debenture, and the issuance of 4.1 million Enseco common shares valued at $0.681 million. The shares were valued based on Enseco's closing stock price of $0. 166 on 13 January 2010, the last full trading day prior to the announcement.

Segway Inc, a Bedford- based manufacturer and wholesaler of light electric transportation devices, accessories, and associated services, divested the company to an undisclosed acquirer.

China Sxan Biotech Inc. agreed to acquire the entire share capital of SNX Organic Fertilizers Inc, a manufacturer of organic fertilizers, for $20 million. The consideration was to consist of 40 million China Sxan new ordinary shares valued at $2 million and preferred shares convertible into 360 million China Sxan new ordinary shares valued at $18 million. The shares were valued based on China Sxans closing stock price of $0.05 on 14 January 2010, the last full trading day prior to the announcement.

Forest Gate Energy Inc. of Canada (Forest) was granted an option to acquire an undisclosed oil and gas licenses, located in Utah, for $0.095 million. The consideration was to consist of $0.049 million in cash and the issuance of 0.345 Forest common shares valued at $0. 046 million. The shares were valued based on Forest's closing stock price of $0. 136 on 14 January 2010, the last full trading day prior to the announcement.


Brink's Home Security Holdings -- Tyco International Ltd.
Tyco International Ltd (Tyco) of Bermuda definitively agreed to acquire the entire share capital of Brink's Home Security Holdings Inc. (Brink's), an Irving-based provider of monitored security services, in a stock swap transaction valued at $1.947 billion. Tyco offered a choice of $42.5 in cash per share, subject to proration whereby the maximum cash consideration is 30% of the total merger consideration; or a combination of $12.75 in cash and a fraction of 1 Tyco share equal to $29.75 divided by the volume- weighted average price of Tyco's stock on the New York Stock Exchange during the 10- trading day period ending on the fourth full trading day prior to the closing date of the merger, subject to a collar between $32.97 and $40.29; or any combination of choice thereof, subject to the same collar. On completion, Brink's was to be merged with Tyco's ADT security business.

Hanover Insurance Group Inc. definitively agreed to merge with Campania Holding Co. Inc, a Vienna-based insurance holding company.

Trafficmaster PLC (Trafficmaster) of the UK planned to acquire Fleet Management Solutions Inc, a San Luis Obispo-based manufacturer of mobile asset tracking and management solutions, for $13.25 million. The consideration was consisted of $6.9 million in cash, $0.35 million in Trafficmaster common stock and up to $6 million in profit related payments.


Intl Steel Solutions-Plant -- Magneti Marelli SpA
Magneti Marelli SpA, a unit of Fiat SpA, acquired the plant, located in Pulaski, Tennessee, of International Steel Solutions LLC, a Pulaski-based manufacturer of shocks, struts and shock rods. Terms were not disclosed.


Mzima Networks Inc. -- PacketExchange Ltd.
PacketExchange Ltd of the UK acquired Mzima Networks Inc, a Los Angeles- based provider of Internet services.


PVC Container Corp. -- Pretium Packaging  LLC
Pretium Packaging LLC (Pretium) agreed to acquire PVC Container Corp, an Eatontown-based manufacturer and wholesaler of specialty plastic containers, from Kirtland Capital Partners. Concurrently, Castle Harlan Inc. agreed to acquire Pretium. The two transactions were to have a combined value of an estimated $200 million in cash.


Pretium Packaging  LLC -- Castle Harlan Inc.
Castle Harlan Inc. (Castle) agreed to acquire an undisclosed majority interest in Pretium Packaging LLC (Pretium), a Chesterfield- based manufacturer of specialty plastic packaging products, from Harbison Corp, in a leveraged buyout transaction. Concurrently, Pretium agreed to acquire PVC Container Corp. The two transactions were to have a combined value of an estimated $200 million in cash. The transaction was conditioned upon completion of Castle's acquisition of Pretium.

Atlas Copco Compressors LLC, a unit of Atlas Copco Compressor AB, acquired the compressor division of Premier Equipment Corp. Inc, a Baton Rouge-based wholesaler of wholesales pumps, compressors, cooling towers, air and gas dryers, blowers and vacuum systems, and accessories. Terms were not disclosed.


Swiss Reinsurance Co. Ltd. -- Berkshire Hathaway Inc.
Berkshire Hathaway Inc. agreed to acquire the US life reinsurance business of Swiss Reinsurance Co. Ltd, a Zurich- based provider of life and non-life insurance and reinsurance services, for $1.26 billion.


Washington Wizards -- Lincoln Holdings LLC
Lincoln Holdings LLC, a unit of Fiserv Inc, planned to acquire the remaining 56% interest, which it did not already own, in Washington Wizards, a Washington-based owner and operator of basketball team. The transaction was to include Verizon Center.

Chemring Group PLC of the UK agreed to acquire the entire share capital of The Alliance Defense Group Inc, a Vienna-based manufacturer of medium caliber ammunition, for $7.25 in cash per share, or a total value of $59.25 million.

Molina Healthcare Inc. agreed to acquire the health information management business of Unisys Corp, a Blue Bell-based manufacturer of electronics-based information systems and related products, for an estimated $135 million in cash.
