Ethicon Inc., a unit of Johnson & Johnson, definitively agreed to merge with Acclarent Inc., a Menlo Park-based manufacturer, developer and wholesaler of surgical devices, for an estimated $785 million in cash. The transaction was to include Acclarent's sinus- surgery technology.


Alcia-SIE-Op, Asts -- Pemco World Air Services Inc.
Pemco World Air Services, a unit of Sun Capital Partners Inc., agreed to acquire the cargo conversion operations and assets of Alcoa-SIE Cargo Conversions LLC, a Simi Valley-based manufacturer of aluminum sheet products, and a unit of Alcoa Inc. Terms were not disclosed.


Anadarko-Mitchell-Gomez -- Hoover Energy Texas LLC
Hoover Energy Texas LLC, a unit of Hoover Energy Partners LLC and Energy Spectrum Partners V LP's Hoover Energy Partners LP, acquired the Mitchell-Gomez gathering and treating assets of Anadarko Petroleum Corp., a Houston-based oil and natural gas exploration and production company.


Art Gun Technologies LLC -- Delta Apparel Inc.
Delta Apparel Inc. (DLA) signed a Letter of Intent to acquire substantially all of the net assets of Art Gun Technologies LLC, a developer of software that allows customers to design apparel products by choosing different styles, colors and graphics to create their one- of-a-kind customized garment.


Atlas Recycling -- Metalico Inc.
Metalico Inc. (Metalico) acquired Atlas Recycling, a Warren-based provider ferrous and non-ferrous metal recycling services. Terms were not disclosed. Concurrently, Metalico acquired Youngstown Iron & Metal Inc.


AVAX Technologies Inc. -- Firebird Global Master Fund
Firebird Global Master Fund Ltd. of Cayman Islands acquired promissory notes and warrants convertible into an undisclosed majority interest in AVAX Technologies Inc., a Philadelphia-based biotechnology company, in a leveraged buyout transaction.


Aurora Oil & Gas Corp.-West -- Undisclosed Acquirer
Bankrupt Aurora Oil & Gas Corp. (Aurora) divested its West Black Lake project, located in Houston, Texas, an oil and gas exploration and production property, to an undisclosed acquiror, for $0.4 million in cash and the assumption of an undisclosed amount in liabilities. The transaction included Aurora's majority interest in the Flour Bluff gas field.


Berning Dental -- Great Expressions Dental Ctrs
Great Expressions Dental Centers Inc., a unit of Audax Dental Group LP, acquired Berning Dental, a Toledo- based provider of dental services.


Biologics Process Dvlp Inc. -- Viropro Inc.
Viropro Inc. (Viropro) planned to acquire the entire share capital of Biologics Process Development Inc. (Biologics), a Poway-based provider of contract laboratory services, from Intas Biopharmaceuticals Ltd., in exchange for 90 million Viropro common shares, valued at $1.8 million, in a reverse takeover transaction. The shares were valued based on Viropro's closing stock price of $0.02 on 15 December 2009, the last full trading day prior to the announcement. Upon completion, Viropro and Biologics shareholders were to own 47.7% and 52.3% of the merged entity.


CoConnect Inc. -- Turnaround  Advisors LLC
Turnaround Advisors LLC definitively agreed to acquire a 51.52% interest, or 0.167 million newly issued common shares, in CoConnect Inc., a Carlsbad-based Internet Service Provider, for $0.075 million.


Data Sys-Cert Asts -- Sarcom Inc.
SARCOM Inc., a unit of PC Mall Inc., acquired the certain assets of Data Systems Worldwide Inc., a Woodland-based provider of information technology services.


Dana Hldg-Structural Prod Bus -- Metalsa SA de CV(Grupo Proeza)
Metalsa SA de CV of Mexico agreed to acquire the structural products business of Dana Holding Corp., a Toledo-based manufacturer of motor vehicle parts, for $150 million. The consideration was consisted of $135 million in cash and up to $15 million in profit-related payments.


East West Bancorp Inc. -- Corsair Capital LLC
Corsair Capital LLC was rumored to be planning to acquire a 15.81% stake in East West Bancorp Inc., a Pasadena-based bank holding company.


Educational Investors Inc. -- Florham Consulting Corp.
Florham Consulting Corp. (Florham) agreed to merge with Educational Investors Inc., a New York-based provider of examination review services, for $6. 717 million, in a reverse takeover transaction. The consideration was to consist of 6 million new common shares valued at $2.1 million, $0. 32 million in options and $4. 297 million in convertible preferred shares. The shares were valued based on Florham's closing stock price of $0.35 on 15 December 2009, the last full trading day prior to the announcement. Concurrently, Educational agreed to acquire the entire share capital of Training Direct LLC.


FGX International Holdings Ltd. -- Essilor International SA
Essilor International SA of France definitively agreed to acquire the entire share capital of FGX International Holdings Ltd., a Smithfield- based manufacturer and wholesaler of non- prescription reading glasses and sunglasses, from Berggruen Holdings North America Ltd. (32%) and other shareholders, for $19.75 in cash per share, or a total value of $536.96 million, including the assumption of an estimated $100 million in liabilities.


Extech Instruments Corp. -- Datamax-O'Neil Corp.
Datamax-O'Neil Corp., a unit of Dover Corp., acquired Extech Instruments Corp., a Waltham-based manufacturer and wholesaler of test and measurement instruments, from FLIR Systems Inc.


Facet Biotech Corp. -- The Baupost Group LLC
Baupost Group LLC agreed to raise its interest to 20% from 15% by acquiring a 5% stake in Facet Biotech Corp., a Redwood-based biotechnology company.


Intradigm Corp. -- Silence Acquisition Corp.
Silence Acquisition Corp., a special purpose acquisition vehicle formed by Silence Therapeutics PLC (Silence Therapeutics) for the purpose of making an acquisition, agreed to merge with Intradigm Corp., a Palo Alto-based biotechnology company, in exchange for 79. 641 million Silence Therapeutics ordinary shares.

International Business Machines Corp. {IBM} definitively acquired Lombardi Software Inc., an Austin-based developer of business process management software, from Sanders Morris Harris Group Inc. Terms were not disclosed.


Merrimack Village Center -- Inland RE Grp of Cos Inc.
Inland Real Estate Group of Cos Inc. acquired Merrimack Village Center, a Merrimack- based owner and operator of shopping centers.

Navistar Financial Corp., a Schaumburg-based provider of wholesale, retail, and lease financing services, and a unit of Navistar International Corp., divested its private retail asset, to an undisclosed acquiror.


New England Pantry Inc. -- 7-Eleven Inc
7-Eleven Inc. acquired New England Pantry Inc., a Norwood-based owner and operator of convenience stores. Terms were not disclosed.


PMK -- Bragman Nyman Cafarelli Public
Bragman Nyman Carafelli (BNC) agreed to merge with PMK/HBH, a California-based public relation, entertainment and marketing company. Terms of the deal were not disclosed. On completion the two merged company was to be named PNK- BNC.


Rafagen Inc. -- Samyang Optics Co. Ltd.
Samyang Optics Co. Ltd. of South Korea agreed to acquire an undisclosed minority stake in Rafagen Inc., a Rockville- based biotechnology company.


Youngstown Iron & Metal Inc. -- Metalico Inc.
Metalico Inc. (Metalico) acquired Youngstown Iron & Metal Inc., a Youngstown-based provider of metal recycling services. Terms were not disclosed. Concurrently, Metalico Inc. acquired Atlas Recycling.


Segovia Inc. -- Indosat
Indonesian Satellite Corp. PT {Indosat} of Indonesia acquired Segovia Inc., a Herndon-based provider of information technology services.


Social Risks LLC -- Control Risks Group Ltd.
Control Risks Group Ltd. of the UK acquired Social Risks LLC, a New York-based provider of consulting and research services.


Station Casinos Inc. -- Boyd Gaming Corp.
Boyd Gaming Corp. planned to acquire the entire share capital of bankrupt Station Casinos Inc. (Station), a Las Vegas-based owner and operator of casino hotels, for $2.45 billion in cash and the assumption of an undisclosed amount in liabilities. Originally, in July 2009, Station announced that it was seeking a buyer for the company.


TNT Engineering Inc. -- Amadeus Energy Ltd.
Amadeus Energy Ltd. (Amadeus) of Australia acquired TNT Engineering Inc. (TNT), a Wichita Falls-based oil and gas exploration and production company, for $5. 5 million. The transaction included the absorption of TNT's staff and the acquisition of a 46% working interest in TNT and Amadeus' jointly-owned production assets.


Training Direct LLC -- Educational Investors Inc.
Educational Investors Inc. (Educational) agreed to acquire the entire share capital of Training Direct LLC, a Bridgeport-based provider of training services, for $1.1 million. The consideration was to consist of $0.2 million in cash and $0.9 million in Florham Consulting Corp. (Florham) common shares. Concurrently, Florham agreed to merge with Educational.


Zynga Game Networks -- Digital Sky Technologies Ltd.
Digital Sky Technologies Ltd. of Russia, agreed to acquire an undisclosed minority stake in Zynga Game Networks, a San Francisco- based provider of online social gaming services, for an estimated $180 million.


Affiliates Insurance Co. -- Government Properties Income
Government Properties Income Trust definitively agreed to acquire an undisclosed minority stake in Affiliates Insurance Co., an Indiana-based provider of insurance and risk management services, for an estimated $5.1 million.


Arthur Frommer's Budget Travel -- Fletcher Asset Management Inc.
Fletcher Asset Management Inc. agreed to acquire Arthur Frommer's Budget Travel Magazine, a New York-based publisher of magazine, from Newsweek.com, a unit of Washington Post Co. Terms were not disclosed.


Attila Technologies LLC -- InterDigital Inc. PA
InterDigital Inc. PA acquired an undisclosed minority stake in Attila Technologies LLC, Hoboken- based provider of software solution services.


Cap Rock Energy Corp. -- Hunt Transmission Services LLC
Hunt Transmission Services LLC, a unit of Hunt Consolidated Inc., agreed to merge with Cap Rock Energy Corp., a Midland-based electric utility company, from Cap Rock Holding Corp., a unit of Lindsay Goldberg & Bessemer LP's Continental Energy Systems subsidiary. The transaction was to include NewCorp. Resources Electric Cooperative Inc.


Cedar Fair LP -- Apollo Global Management LLC
Apollo Global Management LLC definitively agreed to acquire the entire share capital of Cedar Fair LP (Cedar), a Sandusky-based owner and operator of amusement parks, for $11.5 in cash per unit, or a total value of $634.891 million. Originally, in March 2009, Cedar announced that it was seeking a buyer for its assets.


Crossbow Technology-Prod Lines -- MEMSIC Inc.
MEMSIC Inc. agreed to acquire certain product lines of Crossbow Technology Inc. (Crossbow), a San Jose-based developer of wireless sensor network enterprise software, for $18 million in cash. The transaction was to include the non-military portion of Crossbows Inertial Systems business lines and the Wireless Sensor Network (WSN) Mote and eKo business lines.


General Technology Corp. -- IEC Electronics Corp.
IEC Electronics Corp. acquired General Technology Corp., an Albuquerque-based manufacturer of printed circuit boards, cables and wire harnesses, wired chassis, and mechanical enclosure, from Crane Co., for $14.2 million.


Kana Software Inc. -- Chordiant Software Inc.
Chordiant Software Inc. planned to acquire the remaining 95.27% interest, which it did not already own, in KANA Software Inc. (KANA), a Menlo Park-based developer of enterprise relationship management (eRM) software. Previously, Accel-KKR LLC, a joint venture between Accel Partners and Kohlberg Kravis Roberts & Co., definitively agreed to acquire the entire share capital of Kana.


Juniper Flats Quarry -- Primoris Services Corp.
Primoris Services Corp. acquired the Juniper Flats Quarry, a quarry mining property, for an estimated $2.3 million in cash.


Mountain View Bk of Commerce -- Cherry Hills Founders Group
Cherry Hills Founders Group agreed to acquire Mountain View Bank of Commerce, Westminster, Colorado, a Westminster-based provider of commercial banking services, from Capitol Bancorp Ltd.

Cascadia Investments Inc. (Cascadia) acquired an undisclosed majority interest in Religiousgrams.com, a developer of personalized audio religious software. Concurrently, Cascadia acquired an undisclosed majority interest in Santaclausgrams.com and Audiopickups.com.

Mobile Media Unlimited Holdings Inc. signed a memorandum of understanding (MOU) to acquire the entire share capital of TzuFuma Inc., a manufacturer and wholesaler of e-cigarettes, in a stock swap transaction.

CTM Media Holdings Inc. signed a Letter of Intent to divest its World Radio WMET 1160AM unit, a Silver Spring-based owner and operator radio and TV stations, for $4 million in cash and promissory note, to an undisclosed acquiror.

Oclaro Inc. (Oclaro) acquired Xtellus Inc., a Morris Plains-based manufacturer of optical add/ drop multiplexer technology and dynamic optical modules, for $40 million. The consideration consisted of $33 million in Oclaro common shares and up to $7 million in profit-related payments.


International Royalty Corp. -- Royal Gold Inc.
Royal Gold Inc. (Royal) agreed to acquire the entire share capital of International Royalty Corp. (IRC), an Englewood-based provider of mineral royalty services, for $658.747 million, via a scheme of arrangement. Royal offered a choice of $6.956 in cash or 0.1385 common share or a combination of thereof, subject to proration whereby the maximum cash consideration was $350 million and the maximum common share consideration to be issued is 7.75 million. Previously, Franco-Nevada Corp. launched its unsolicited tender offer to acquire IRC.


Javelin Pharmaceuticals Inc. -- Myriad Pharmaceuticals Inc.
Myriad Pharmaceuticals Inc. (Myriad) definitively agreed to acquire the entire share capital of Javelin Pharmaceuticals Inc. (Javelin), a Cambridge-based manufacturer of prescription pharmaceuticals, in a stock swap transaction valued at $95.988 million. Myriad offered 0.282 common share per Javelin share. Based on Myriad's closing stock price of $5.33 on 17 December 2009, the last full trading day prior to the announcement, each Javelin share was valued at $1.503.


Quincy Compressor -- Atlas Copco Compressor AB
Atlas Copco Compressor AB of Sweden, agreed to acquire Quincy Compressor, a Bay Minette-based manufacturer of reciprocating and rotary screw air compressors, vacuum pumps, air dryers and parts, from EnPro Industries Inc., for an estimated $190 million in cash.
