AmTrust Bank-Branches,Lake -- First Place Bank
First Place Bank, a wholly-owned unit of First Place Financial Corp., agreed to acquire the three branches, located in Lake County, Ohio, of AmTrust Bank.
Barnhart Crane-Cert Asts -- Maxim Crane Works Hldg Inc.
Maxim Crane Works Holdings Inc., a unit of Platinum Equity LLC's Platinum Equity Capital Partners II LP subsidiary, acquired certain assets of Barnhart Crane & Rigging Co, a Memphis-based provider of lifting and transportation services. Terms were not disclosed. The transaction included a fleet of large crawler cranes and related assets of Barnhart.
Beam Global Spirits & Wine-Old -- Buffalo Trace Distillery Inc.
Buffalo Trace Distillery Inc. acquired Old Taylor Bourbon label, from Beam Global Spirits & Wine Inc.. The transition was to include the barrel inventory.
ClearFuels Technology Inc. -- Rentech Inc.
Rentech Inc. acquired a 25% stake in ClearFuels Technology Inc., an Aiea-based manufacturer of biofuel products. Concurrently, Rentech definitively agreed to acquire the entire share capital of SilvaGas Corp.
Dakota Salts LLC -- Sirius Exploration PLC
Sirius Exploration PLC was granted an option to acquire the remaining 49% stake, which it did not already own in Dakota Salts LLC, Denver-based mineral mining company, from Transparent Holdings Ltd (24%) and Sojourn Energy LLC (25%), in exchange for 19.6 mil ordinary shares valued at $1.248 mil. The shares were valued based on Sirius' closing stock price of $0. 0637 on June 23, the last full trading day prior to the announcement.
Federal Trust Corp. -- FT Acquisition Corp.
FT Acquisition Corp., a wholly-owned unit of the Hartford Financial Services Group Inc., merged with Federal Trust Corp., a Sanford-based bank holding company for Federal Trust Bank, for $10 mil in cash, in a privately negotiated transaction. SilvaGas Corp. -- Rentech Inc.
Rentech Inc. definitively agreed to acquire the entire share capital of SilvaGas Corp., an Atlanta-based manufacturer of industrial gas, for $17.651 mil. The consideration was to consist of 14.7 mil Rentech common shares valued at $8.526 mil, and up to $9.125 mil in profit related payments. The shares were valued based on Rentech's closing stock price of $0.58 on 23 June 2009, the last full trading day prior to the announcement. Concurrently, Rentech acquired a 25% stake in ClearFuels Technology Inc.
