Boutique Banks Reevaluate Their Options

Crain's Detroit reported this weekend that the founders of WY Campbell & Co., William Campbell and William McKinley, had left the firm after talks with Comerica Inc. failed to generate a deal to buy back the company. Crain's noted that the move came less than a month after WY Campbell's Cliff Roesler and Kevin Marsh left the mid-market investment bank, acquired by Comerica in 1995, to launch a new firm, Angle Advisors-Investment Banking.
Following news last week that Edgeview Partners was re-acquired by its management after a roughly three-year stint as part of CIT Group, a trend seems to be forming. If you count the slow decay of Barrington Associates, which has seen multiple offices closed and a third of its staff cut since Wells Fargo acquired Wachovia, this officially crosses the 'trend' threshold.
This type of track record can make it tough for bankers fighting the perception that 50% of all deals fail. I would also think that it would scare some from selling out, yet new deals continue to crop up. I was even talking to a banker at an independent firm earlier this year who cited that a sale is ultimately the outcome most boutiques are hoping for.
But why do it? Obviously, it gives the founders the chance to monetize their investment. Operationally, too, there can be some clear benefits, as PNC's Harris Williams or Lazard Middle Market (formerly Goldsmith Agio Helms) seem to showcase. Both groups only seemed to get stronger following their sales in 2005 and 2007, respectively.
Considering we're now on the other side of what was a treacherous downturn, a lot of groups were able to find cover as part of a larger organization too.
But for boutiques that are looking for a buyer, the mixed track record underscores why sellers need to do at least as much, if not more, due diligence as the buyers.
